General Terms and Conditions

1. Introduction

  • These Terms and Conditions ("T&C") govern the provision of interior design services ("Services") by Studio Archer Limited ("Designer") to the client ("Client").

2. Services

  • Studio Archer Limited agrees to provide interior design services as outlined in the agreed-upon proposal or contract.

  • Any additional services will be subject to separate agreements and additional fees.

3. Fees and Payments

  • Fees for Services will be outlined in the proposal or contract.

  • A deposit outlined in the contract is required upon acceptance of the proposal.

  • The remaining payments will be scheduled as outlined in the proposal.

  • Late payments may incur interest charges at a rate.

4. Client Responsibilities

  • The Client must provide timely access to the property and necessary information for Studio Archer Limited to perform the Services.

  • The Client is responsible for obtaining any necessary permits or approvals.

5. Design Revisions

  • The proposal includes 3 revisions. Additional revisions might be billed at an hourly rate.

6. Project Timeline

  • Studio Archer Limited will use reasonable efforts to meet project timelines. Delays due to unforeseen circumstances, including but not limited to, the availability of materials or third-party contractors, will not constitute a breach of this agreement.

7. Materials and Products

  • Studio Archer Limited will propose materials and products for the project. The Client must approve all selections before purchase.

  • The Client is responsible for the cost of materials and products unless otherwise agreed in writing.

8. Cancellation and Termination

  • Either party may terminate this agreement with 30 days' written notice.

  • Upon termination, the Client will be responsible for all fees and costs incurred up to the date of termination.

9. Intellectual Property

  • All designs, drawings, and materials created by Studio Archer Limited are the intellectual property of the Studio Archer Limited.

  • The Client is granted a license to use these designs for the specified project only.

10. Limitation of Liability

  • Studio Archer Limited is not liable for any indirect, incidental, or consequential damages arising from the Services.

  • Studio Archer Limited total liability is limited to the amount paid by the Client for the Services.

11. Warranty and Disclaimer

  • Studio Archer Limited warrants that the Services will be performed in a professional manner.

  • No other warranties, express or implied, are provided.

12. Governing Law

  •  (Governing law) This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.

  • (Waiver) No party to these Terms may rely on the words or conduct of any other party as a waiver of any right unless the waiver is in writing and signed by the party granting the waiver.

  • (Third party rights) This agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.

  • (Assignment) A party cannot assign, novate or otherwise transfer any of its rights or obligations under these Terms without the prior written consent of the other party.

  • (Entire Agreement) These Terms embody the entire agreement between the parties and supersede any prior negotiation, or agreement, express or implied, in relation to the subject matter of the Terms.

15. Force Majeure

  • Studio Archer Limited is not liable for delays or failures to perform due to causes beyond their control, including but not limited to, acts of God, war, or labor disputes.

16. Acceptance

  • By engaging the Designer's Services, the Client agrees to these T&C.

Procurement Terms and Conditions

Terms and Conditions

  1. Definitions

    • "Company" refers to Studio Archer Limited.

    • "Client" refers to the individual or entity purchasing goods and services from the Company.

    • "Goods" refers to furniture, furnishings, materials, and other items procured by the Company on behalf of the Client.

    • "Services" refers to the procurement, delivery, and installation of the Goods.

  2. Procurement Process

    • Studio Archer Limited will source and procure Goods as per the design specifications and budget agreed upon with the Client.

    • All purchases will be made in the Client’s best interest, ensuring quality and value for money.

  3. Payment Terms

    • A deposit of at least 65% of the total procurement cost is required before any orders are placed.

    • The remaining balance is typically broken down to a further 30% due 2 months prior to installation/delivery and the remaining 5% upon completion.

    • Invoices are payable within 7 days of the invoice date. Late payments may incur a late fee.

  4. Approval of Goods

    • The Client must approve all selected Goods before the Company places orders. Once approved, changes may incur additional costs and delays.

  5. Delivery and Installation

    • The Company will coordinate the delivery and installation of the Goods. Any delivery dates provided are estimates and subject to change.

    • The Company is not responsible for delays caused by third-party suppliers or unforeseen circumstances.

  6. Inspection and Acceptance

    • The Client is responsible for inspecting the Goods upon delivery. Any damages or discrepancies must be reported to the Company within 14 days.

    • If no issues are reported within this period, the Goods are deemed accepted by the Client.

  7. Returns and Exchanges

    • Returns and exchanges are subject to the policies of the individual suppliers. The Company will assist the Client in managing returns and exchanges but cannot guarantee acceptance by the supplier.

    • Custom or special-order items are non-returnable and non-refundable unless they are defective or damaged.

  8. Warranties

    • The Company will pass on any warranties provided by the manufacturers or suppliers of the Goods. The Company itself does not provide any additional warranties.

  9. Liability

    • The Company is not liable for any damages, losses, or injuries resulting from the use or installation of the Goods.

    • The Company’s liability is limited to the cost of the Goods procured on behalf of the Client.

  10. Force Majeure

  • The Company is not liable for any delays or failures in performance due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor strikes, or supplier delays.

  • This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.

  1. Acceptance of Terms

  • By engaging the procurement services of the Company, the Client agrees to these terms and conditions.
